Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Upcoming Digital Solutions (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you must not use our services.

2. Services

We provide digital marketing and IT services including but not limited to SEO, web development, paid advertising, social media marketing, branding, and content marketing. The specific scope, deliverables, and timeline of services will be outlined in a separate service agreement or proposal.

3. Payment Terms

  • Payment terms will be specified in your service agreement.
  • Invoices are due within 15 days of issuance unless otherwise agreed.
  • Late payments may incur a fee of 1.5% per month on the outstanding balance.
  • All fees are non-refundable unless otherwise stated in writing.

4. Client Responsibilities

You agree to:

  • Provide accurate and complete information as needed for our services.
  • Provide timely feedback and approvals to avoid project delays.
  • Grant necessary access to relevant platforms and tools.
  • Ensure all content and materials you provide do not infringe on third-party rights.

5. Intellectual Property

Upon full payment, you will own the final deliverables created specifically for your project. We retain the right to use the work for portfolio and marketing purposes unless otherwise agreed. Pre-existing tools, templates, and frameworks used in delivery remain our intellectual property.

6. Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific service in question. We are not liable for indirect, incidental, or consequential damages.

7. Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination, you are responsible for payment of all services rendered up to the termination date.

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat.
